 Endangered Species Conservation Federation
The LIOC-ESCF Constitution
ARTICLE I - Name
1. The name of the Corporation shall be the LIOC Endangered Species Conservation Federation, Inc.
ARTICLE II - Object
1. The object of the Corporation shall be the propagation and preservation of all members of the Family Felidae with the exception of the species Felis catus.
ARTICLE III - Memberships
1. Active Member: Any person with a sincere interest in any of the species of felidae shall be eligible for membership.
2. Life Member: Life memberships shall be extended to active members who have performed extraordinary services for the Corporation as determined by the Executive Board.
3. Honorary Member:
- A membership which can be extended to individuals who are not current Active Members or Life Members, yet who significantly benefit the Corporation, its membership, or aid in the furtherance of its object as determined by the Executive Board.
- Honorary memberships will be limited in duration to one (1) year.
- Honorary members shall enjoy all the benefits of the Corporation with the exception of voting privileges and of expressing motions concerning Corporation procedures.
4. Dues: The Executive Board shall set the amount of annual dues.
ARTICLE IV - Officers
1. The officers of the LIOC Endangered Species Conservation Federation, Inc. shall be a President, Vice President, a Secretary/Treasurer, and eight (8) Directors. These officers shall perform the duties prescribed in the By-laws.
2. The officers shall be elected by preferential ballot of the entire membership to serve for two (2) years or until their successors are elected, and their terms of office shall begin January 1 of the year following an election.
3. In addition to four (4) elected Directors, there shall be four (4) Life Directors.
ARTICLE V - Nomination and Elections
1. Nominating Committee:
- The Nominating Committee shall consist of the Executive Board. It shall be the duty of this Committee to nominate members for the offices to be filled on January 1, of each alternate year.
- The Nominating Committee shall accept proper nominations as given in Section 3, from the membership and after ascertaining the willingness of the proposed candidates, shall present these candidates coincidentally with the Committee's own nomination.
2. An officer serving any term shall be a candidate for the succeeding term unless the officer holder specifically declines the nomination in writing to the Nominating Committee.
3. A member shall be considered properly nominated by the membership if he is willing to assume the office and there are two (2) valid LIOC Endangered Species Conservation Federation, Inc. members' signatures on the document presenting his name to the Committee and if the document is mailed to the Committee by March 20th of the election year. Any nominee for the President of LIOC Endangered Species Conservation Federation, Inc. shall have been elected and served at least one term of office in another position of the Board of Directors of the organization or shall have been a paying member in good standing for a minimum of ten (10) consecutive years to include the election year. 4. The Nominating Committee shall report its nominations, those from the membership and the officers who are candidates for another term by April 1st of the election year for publication in the May edition of the Corporation Newsletter.
5. The completed ballots shall be mailed to the Nominating Committee within five (5) weeks of the distribution of the September edition of the Corporation Newsletter.
ARTICLE VI - Membership Participation
1. At any Convention or gathering to which all LIOC Endangered Species Conservation Federation, Inc. members are invited, there will be a general membership meeting during which members may present suggestions concerning the Corporation for discussion; and, at the option of the presiding officer, conferences shall be held with authorized Branch Representatives and other officers.
2. Every two (2) years, the months of February and March of the second year of the term of the current elected officers, shall constitute an interval of time during which all valid LIOC Endangered Species Conservation Federation, Inc. members may introduce motions concerning the future actions of the Corporation. These motions must be undersigned by three (3) valid LIOC Endangered Species Conservation Federation, Inc. members and mailed to the Directors. Upon decision of confirmation that the submitted motion conforms to the properties of a general meeting motion, as prescribed by the accepted authority of parliamentary procedure, the Directors shall authorize that the motion be published in the May issue of the Corporation's Newsletter. For the duration of five (5) weeks after distribution of the May edition of the Corporation Newsletter, members may mail their votes concerning each motion to the Directors. The results of these votes shall become effective August 1st in the year of the voting and shall be announced in the July edition of the Corporation Newsletter.
ARTICLE VII - The Executive Board
1. The officers of the LIOC Endangered Species Conservation Federation, Inc. including the Directors shall constitute the Executive Board.
2. The Executive Board shall have general supervision of the affairs of the
Corporation, make recommendations to the Corporation, appoint the Editor of
the Newsletter, approve a balanced budget, and shall perform such other
duties as specified in this Constitution and By-laws. amended 7/96
ARTICLE VIII - Committees
1. Committees, standing or special, shall be appointed by the President as the Corporation, or the Executive Board deems necessary to carry on the work of the Corporation. The President shall be ex officio a member of all committees.
ARTICLE IX - Parliamentary Authority
1. The rules contained in the current edition of "Roberts' Rules of Order Newly Revised" shall govern the Corporation in all cases to which they are applicable and in which they are not inconsistent with this Constitution and all By-laws and special rules the Corporation may adopt.
ARTICLE X - Publication
1. LIOC Endangered Species Conservation Federation, Inc. shall publish a Newsletter six (6) times a year bearing the dates: January, March, May, July, September, November successively.
ARTICLE XI - Branches
1. The Executive Board shall make the determination as to the Branches as per the By-laws.
ARTICLE XII - Amendment of the Constitution
1. This constitution can be amended during any Member Participation interval by a two-thirds (2/3) vote.
